NIDECO project submission rules

From April 01, 2021

The purpose of these rules is to define the terms and conditions for organizing and participating in the contest organized by NIDECO (hereinafter referred to as "the Contest").

By participating in the Contest, and checking the box provided for this purpose,

The participant agrees to abide by all the provisions of these rules.

 

Article 1. Definitions

The terms used in these rules, both in the plural and singular, shall have the following meanings:

NIDECO: refers to the company NIDECO SAS (in the process of being incorporated), whose head office is located at 150 chemin de la Porteuse, 13400 Aubagne

Site internet : désigne le site internet de NIDECO accessible à l’adresse www.nideco.fr

Membres de la communauté Nidéco : désigne les personnes physiques ayant créée un compte sur la plateforme, www.nideco.fr

Nideco Values Charter: means the document available in Appendix 1.

Idea: refers to the idea submitted by the Participant in the context of the Contest concerning a new, innovative, original cosmetic product, likely to be produced on an industrial scale, and whose specific action is clearly defined, with the exception of perfume, sun protection, depilatory products, hair coloring, makeup, hair styling and fixing products, and wipes.

Product: means the cosmetic products developed by Nidéco and then marketed by Nidéco from the Idea submitted by the Participant, and selected by the Jury at the end of the three selection stages of the Contest.

Participant: means any person aged 18 or over, residing in mainland France, participating in the Contest under the conditions below.

Co-participant: means the team that submitted the Idea for the Contest.

Lead Participant: refers to the Co-participant designated to represent the team, who will act on behalf of the Co-participants and who will, in all cases, be the only person recognized by Nidéco. In all cases, only one prize will be awarded per selected idea.

Winner: means the Participant selected at the end of one or more of the three stages of the Contest.

Prize: means one of the prizes awarded to the Winners of the Contest.

Data: means the data and information about the Participant that is collected and processed in connection with participation in the Contest, including personal data.

 

Article 2. Organization of the Game-Contest

The Contest is organized by NIDECO.

These Contest rules are available on the Website www.nide.co

These rules are binding in the same way as any signed written contract. If the Participant disagrees with the terms of these rules, he/she is not allowed to participate in the Contest.

Failure to comply with these rules will result in the invalidity of participation in the Contest.

This contest aims to reward an original idea and its development.

The purpose is to develop a Product based on the Idea submitted by the Participant and selected by a Jury at the end of the three selection stages of the Contest.

 

Article 3. Participation in the Contest

Participation in the Contest is reserved for any natural person over the age of 18, acting for personal purposes.

Participants must have the necessary equipment, and in particular access to the Website, a valid email address and reside in mainland France. Participants are excluded from any person who has participated in the development and organization of the game as well as persons with the same name and/or address as the latter.

To participate in the Contest, Participants must create a user account on the Website and fill out the entry form accessible online on the Website, to the exclusion of any other form of participation (such as by mail or e-mail).

The same Participant may send several entries which must be submitted within a period of 3 months, each of the Ideas may be retained and rewarded under the conditions of Article 5.

Similarly, collective creations may be presented through a Pilot Participant who undertakes to do so in the name and on behalf of the Co-participants. In the event that the collective Idea is awarded, only one prize will be awarded.

Participation in the Sweepstakes and receipt of a Prize requires the provision of the following information: last name(s), first name(s), date of birth, phone number, Instagram account, city of residence and email address.

The participation cannot be taken into account if the form is filled in incompletely or erroneously.

Participants communicate their Ideas by describing them in the entry form.

The Ideas must be described in French.

The Ideas submitted by the Participants must concern a cosmetic product based on one or more natural, new, innovative, original active ingredients, likely to be produced on an industrial scale, and whose specific action is clearly defined.

The Ideas will have to respect the Nidéco Values Charter (Annex I).

The Participant must accept the general conditions of use of the Website and the rules of the contest.

The Participant must verify that he/she has received the email confirming the submission of the form. In the event that he/she does not receive an acknowledgement of receipt, the Participant must fill out the participation form again, which is accessible online on the Website.

Article 4. Duration of the Contest

Le Jeu-Concours débute le 01 avril 2023 à 8 heures (heure française métropolitaine) pour se terminer le 01 Mai 2024 à 23h59 (heure française métropolitaine).

Any entry received outside of this period will not be considered for the Contest.

The Contest will take place in 3 selection stages, the duration of which is described below. 

Step 1: The 90^th day of the month following the month of submission of the form by the Participant (or the next business day).

The Participants selected at the end of step 1 will have access to step 2 of the Contest.

Stage 2: 90 days from the publication of the Winners' Ideas from stage 1 on the Website.

The Participants selected at the end of step 2 have access to step 3 of the Contest.

Stage 3: 90 days from the publication of the Stage 2 Winners' Ideas on the Website.

 

 

 

 

Article 5. Winners and Prizes

5.1 Selection of Winners

• Step 1

Each month, a maximum of 10 Ideas will be selected by the Jury composed of :

• Two representatives of the company Nidéco
• Three experts in cosmetics

The selection of the Winners will be based on the following criteria:

• The new, innovative and original character of the idea submitted, which is likely to be produced on an industrial scale
• The specific action of the Product
• Respect for the Nideco Charter of Values
• The economic development potential of the Idea
• The personality of the Participant
• The acceptance of the terms of the contract by the Participant

 

• Step 2

The Ideas of the Winners of stage 1 will be published on the Website and submitted to the vote of the Members of the Nidé.co community

The selection of the Winners will be based on the following criteria:

• Ideas that have received 2000 votes within 90 days of the publication of the Ideas on the Website.

 

• Step 3

The Ideas of the Winners of stage 2 will be developed by Nidé.co in the form of prototypes of Products.

Les prototypes de Produits seront testés par les Membres de la communauté Nidéco qui auront démontré le plus d’intérêt vis-à-vis du projet et de la marque : seront sélectionnées les membres qui auront davantage échangés avec Nidéco au sujet du projet publié sur la plateforme, par le biais du Site Internet et/ou des réseaux sociaux.

Les Membres de la communauté Nidéco auront la faculté d’émettre des remarques sur les Produits testés dont certaines sont publiées par Nidé.co sur le Site Internet et les réseaux sociaux.

When the formula of the Product and the packagings will be considered as definitive by Nidéco, the Products will be available in the form of presale on the Internet Site.

La sélection des Lauréats se fera en fonction du nombre de préventes comptabilisé. Le montant total des préventes doit être proportionnel au cout moyen envisagé par Nidéco pour la production de la quantité minimale de production (c’est-à-dire la plus petite quantité ou nombre d'un produit qu'une entreprise peut fabriquer à échelle industrielle) et la commercialisation du Produit.

The Product made from the idea of the Participant's idea Winner of step 3 will be produced and commercialized by Nidéco.

People who have pre-purchased a Product that will not have collected a sufficient number of pre-sales (200 orders) to go into production, will be refunded the full amount paid.

 

5.2 Prices

The total prize money for the competition consists of the following prizes:

• Winners of stage 1 500€ (payable after publication of the idea on www.nide.co)
• Winners of stage 2Step 2: 1.500€ (payable at the closing date of the pre-sales date of the Product). The amount of 1500€ may, by mutual agreement with the candidate, be reduced to 1000€ if the period of 90 days to obtain 2000 votes is extended. This decrease is explained by the need for nidé.co to invest in communication to make known the project to future voters.
• Stage 3 winners: The winner will be paid 10% of the operating margin generated by the marketing of the product in exchange for the authorization to exploit the attributes of his/her personality. This will be the subject of a separate contract between the winner and Nidéco.

The Winners will be informed by email at the address given on the participation form of the quality of Winner as well as the Prize won. Nidéco will also be able to contact in a complementary way the Winners by telephone or via the social networks.

The name of the winners will be published on the website and on the social network accounts of Nidéco.

The Prizes will be sent by mail to the Winners at the address indicated on the entry form. Before any sending, Nidéco may ask the Prizewinner to provide proof of identity.

The Prizes can also be given in person to the Winners against receipt on the occasion of an event organized by Nidéco.

 

Article 6. Obligations of the participants

The Participant expressly acknowledges and agrees that Nidéco to reproduce, represent and disseminate his/her Idea(s) in the context of the promotion of the Contest

The Participant recognizes that his / her Ideas submitted in the framework of the Contest are free courses and that he / she does not participate in the formulation of the Product eventually realized by Nidéco.

The Participant agrees to be contacted by Nidéco by email, via social networks, by mail or by phone in order to verify that the Idea he/she submitted meets the criteria of the Contest and to refine it as the Contest progresses. The Participant agrees to cooperate with Nidéco throughout the development of the Product which could be resulting from this Idea.

The Participant may be invited to events related to the Contest for the production of content (photo, video, interview...) intended to promote the Contest or the Product.

The Laureate / Winner agrees to mention Nidé.co and the competition " Nidé.co"in any communication that it would make on social networks or by any other means relating to the Contest and its Idea.

 

Article 7. Personal data

The Participant has the option of providing personal information about him/her.

The Data that is mandatory to provide are last name, first name, age, email address, phone number, Instagram account, occupation, mailing address.

To ensure compliance with these rules, Nidéco reserves the right to proceed to any verification, in particular of the identity or the postal and electronic addresses of the Participant. The supply of false information, whereas the Participant did not have the quality to take part in the Contest or having entailed the impossibility for Nidéco to carry out its obligations will lead to the nullity of the participation to the Contest and will exonerate Nidéco of any responsibility under its obligations.

The Participant is informed that the supply of personal information is obligatory to take part in the Game-Contest, so that Nidéco can notify him/her of his/her eventual win and, if necessary, give him/her a prize.

Participants who do not wish to provide this information will not be able to participate in the Contest.

The information collected by Nidéco within the framework of the Contest is subject to the Privacy Policy reproduced in Appendix 2.

 

Article 8. Responsibility

The equipment (computer, software, telecommunications means, etc.) allowing access to the Website is used under the sole control and direction of the Participant.

The Participant acknowledges and accepts that no one can guarantee the proper functioning of the Internet as a whole and accepts the characteristics and limitations of the Internet.

In case of impossibility of access to the Internet Site, in case of material error on the Internet Site, as well as in case of force majeure having prevented Nidéco from fulfilling its obligations or having forced it to modify or cancel the Contest, the Participant will not be able to claim any damage and will not be able to claim any compensation.

The Participant remains solely responsible for the information provided in the entry form. As such, Nidéco cannot be held responsible in case of non-delivery of the email informing the Prizewinner of his/her Prize or in case of non-receipt of the prize due to an error of seizure in the participation form.

 

Article 9. Applicable law and jurisdiction

The present rules are subject to French law.

Except for provisions of public order, all disputes which could arise within the framework of the execution of the present rules could, before any legal action, be subjected to the appreciation of Nidéco for an amicable settlement and will have to be transmitted by registered mail with acknowledgement of receipt to the following address Nidéco SAS, 150 chemin de la Porteuse, 13400 Aubagne.

Any legal action relating to the conclusion, interpretation, execution of these rules will be under the jurisdiction of the Court of the place of residence of the defendant.

Appendix 1: Nideco Values Charter

Appendix 2: Privacy Policy

Nidéco (whose coordinates are listed at the end of this privacy policy) is in the business of creating cosmetic products.

 

Within the framework of the Nidéco Contest, Nidéco is brought to collect and treat a certain number of personal data concerning the Participant(s).

 

Nidéco attaches the greatest importance to the protection of the private life and the personal data of its interlocutors and to the respect of the regulations in force.

 

The treatment of these data by Nidéco as responsible of treatment is realized according to the modalities described below.

 

This Privacy Policy relates to the protection of personal data provided to Nideco by Contest Participants.

By participating in the Contest, Participants are informed of and agree to this Privacy Policy.

Definitions of capitalized words are included in the bylaws.

• Personal data collected by Nidéco

 

• Personal data communicated by the Participant in order to participate in the Contest: 

 

Data collected during the creation of the User Account:

• Mandatory data for the creation of the account: name, first name, complete postal address, email address.
• Not required: telephone number.

 

Data provided in the entry form:

• Participation in the Contest requires the following information: last name, first name, age, email address, phone number, city, Instagram account, occupation.

Purposes and legal basis: The processing of this personal data is necessary to allow Nidéco to fulfill its obligations, especially for the organization of the Contest and the sending of Prizes. The processing is based on the legitimate interests of the data subject and of Nidéco for the purposes of organizing the Contest.

 

Anyone who does not wish to provide the necessary information will not be able to participate in the Contest.

 

 

 

• Processing of Personal Data

 

The personal data are the object of a data-processing treatment by Nidéco in quality of person in charge of treatment for the purposes exposed above.

 

Nidéco commits itself not to use them in any other framework, nor to transmit them to third parties, except in the cases foreseen in this privacy policy or after information and, if necessary, consent of the concerned person.

 

Recipients Nidéco may be required to communicate the personal data processed to third parties in the context of compliance with a legal obligation, for example to respond to claims related to information and content that may violate the rights of third parties, at the request of a judicial or public authority, or pursuant to a judicial or administrative decision, or an independent administrative authority.

 

Personal Data may be disclosed, solely for the purposes set forth above, by Nidéco to its employees and suppliers, including certain service providers transferring data outside the European Union. Nidéco takes all measures to require that such recipients comply with applicable regulations and, where applicable, that transfers outside the European Union are based on an adequate level of protection or sufficient safeguards.

 

Only the name and surname of the Winners will be communicated in a public way on the Website or on the social networks of Nidéco in order to promote the Contest.

Conservation and archiving Personal data are kept for the purposes described above for the time necessary to achieve these purposes.

 

The Personal Data concerning the Participant will be kept by Nidéco for a period of one year following the end of the Contest for internal purposes or for prospecting (unless the Participant refuses).

 

These data are archived for the time necessary to establish, exercise or defend a right in justice, equivalent to the duration of prescription applicable to the obligations between Nidéco and the person concerned.

 

Nidéco makes its best efforts to keep and archive these personal data in appropriate security conditions in compliance with the applicable provisions, according to the current technical means.

 

• Cookies and tracers

 

A cookie or tracer is a file that is deposited and/or read in the Participant's terminal (computer, mobile device, etc.) or linked to the user's identifiers.

 

Third-party cookies deposited and managed by partners to provide various services (audience measurement to obtain statistics on site visits, cookies related to the sharing functionality on social networks) are used on the NIDE.CO website.

The Participant may oppose or uninstall cookies by following the settings of his or her browser or terminal operating system, or by using the functions provided for this purpose on the Website.

 

The deletion of cookies previously present on the browser does not affect navigation on the Website, but will cause the Participant to lose all the benefits provided by the cookie.

 

The Participant will have to give his/her consent to the deposit of cookies on the Website the next time he/she connects.

 

Refusal of cookies may limit navigation on the Website or the use of the services offered.

 

Nidéco reserves the right to modify this Policy of use of cookies when changes are made to the configuration and/or use of the same.

➢ Rights of the Participant on the Data communicated to Nidéco

 

Any person having communicated personal data to Nidéco has the following rights on these:

 

• A right of access and rectification;
• A right to erasure of data ("right to be forgotten"), a right to limitation of processing and a right to object to processing in the cases provided for by the regulations in force;
• The right to define directives concerning the fate of one's personal data after death;
• The right to the portability of the raw data provided to Nidéco;
• The right to lodge a complaint with the competent authority (notably the CNIL in France).

 

These rights can be exercised by e-mail or by post at the address below.

 

These rights must be exercised under the conditions provided for by the regulations in force. In particular, the following may be requested a copy of an identity card of the applicant or any document in order to prove his identity to Nidéco.
